Purchasing and Project contract management and the 3 main contract types: fixed price, time and materials, and cost based contracts. This is an important knowledge in Project Procurement, Supply Chain, and Purchasing Management. In this video, you learn: Why and when do companies need contracts in purchasing management? Fixed price is a contract in which the price of the product or service is fixed during the contract duration. In these contracts, buyer and seller should know very well the specifications and, therefore, the costs can be estimated with accuracy. In a cost-based contract, the buyer agrees to reimburse the supplier for the expenses incurred plus a dollar amount of profit, usually a percentage of the contract’s full price. To protect against cost overruns, some companies define the maximum cost reimbursement the supplier cannot exceed. In Time & Materials (T&M) contract, cost unit rates are predetermined, but the man-hours and material quantity u can vary. Therefore, the total cost is not fixed while unit cost are fixed. It is a kind of hybrid contract. It has a fixed unit cost as the fixed price contracts, but the amount of material used and worked hours o may vary and will be paid accordingly. B2B Purchasing Negotiation Five Strategies to Reduce Vendor Prices

The following video outlines five purchasing and procurement strategies all geared towards lowering vendor prices and or reducing supply chain and inventory management costs. These strategies are put forth from someone who has worked in sales and marketing for 20 years and wanted to combine the best strategies employed by the best purchasing negotiation teams. In essence, these strategies come from those purchasing and procurement agents I have negotiated with. They include the most successful strategies employed against me. The first includes not tipping your hand and or broadcasting your needs too soon in the negotiation process with a salesperson. Instead, nail down your price and then use your requests, needs and or concession to reduce pricing. For instance, agree upon a final price and then ask for a discount or reduced price for 1) prepaying total or a portion of your purchase, 2) prompt payment incentives like net-10 day terms 1 to 2 percent discount or 3) increasing volumes or committing to long-term supply contracts or orders. The second tip includes avoiding using veiled threats - which are simply threats you have no intention of following through on. When you threaten vendors too much without ever following through on a threat, then you are simply training them not to take your threats seriously. Third, match a high-value concession for a high-value concession. In this case, come up with a list of requests and or "must-haves" as outcomes from the price negotiation. When the salesperson makes a request, make sure you counter with one of your own of equal value. Fourth, when it comes to getting price reductions from a salesperson, you have to sometimes appeal to their better nature. In this case, add a little personal touch to your negotiations. Ask for a price reduction by outlining the pressures and demands that are placed upon you as a purchasing agent. In this case, you have to attain a certain inventory cost structure so ask your salesperson to help you attain that. Finally, keep your vendor honest by constantly going out for competitive bids. Even the best of vendors can become complacent. However, if they know you know as much about pricing in the market as they do, then those vendors will be less likely to take advantage of you.

Corporations and public bodies often define processes intended to promote fair and open competition for their business while minimizing risk, such as exposure to fraud and collusion. Almost all purchasing decisions include factors such as delivery and handling, marginal benefit, and price fluctuations. Procurement generally involves making buying decisions under conditions of scarcity. If good data is available, it is good practice to make use of economic analysis methods such as cost-benefit analysis or cost-utility analysis. An important distinction should be made between analyses without risk and those with risk. Where risk is involved, either in the costs or the benefits, the concept of best value should be employed. Procurement activities are often split into two distinct categories, direct and indirect spend. Direct spend refers to production-related procurement that encompasses all items that are part of finished products, such as raw material, components and parts. The first category being direct, production-related procurement and the second being indirect, non-production-related procurement. Direct procurement, which is the focus in supply chain management, directly affects the production process of manufacturing firms. In contrast, indirect procurement activities concern “operating resources” that a company purchases to enable its operations. Indirect procurement comprises a wide variety of goods and services, from standardized items like office supplies and machine lubricants to complex and costly products and services;, like heavy equipment, consulting services, and outsourcing services. Procurement is one component of the broader concept of sourcing and acquisition. Typically procurement is viewed as more tactical in nature (the process of physically buying a product or service) and sourcing and acquisition are viewed as more strategic and encompassing. The Institute of Supply Management defines strategic sourcing as the process of identifying sources that could provide needed products or services for the acquiring organization. The term procurement used to reflect the entire purchasing process or cycle, and not just the tactical components. ISM defines procurement as an organizational function that includes specifications development, value analysis, supplier market research, negotiation, buying activities, contract administration, inventory control, traffic, receiving and stores. Purchasing refers to the major function of an organization that is responsible for acquisition of required materials, services and equipment. The United States Defense Acquisition University (DAU) defines procurement as the act of buying goods and services for the government. DAU defines acquisition as the conceptualization, initiation, design, development, test, contracting, production, deployment, Logistics Support (LS), modification, and disposal of weapons and other systems, supplies, or services (including construction) to satisfy Department of Defense needs, intended for use in or in support of military missions. Acquisition and sourcing are therefore much wider concepts than procurement. Multiple sourcing business models exist, and acquisition models exist.

Contract management or contract administration is the management of contracts made with customers, vendors, partners, or employees. The personnel involved in contract administration required to negotiate, support and manage effective contracts are often expensive to train and retain. Contract management includes negotiating the terms and conditions in contracts and ensuring compliance with the terms and conditions, as well as documenting and agreeing on any changes or amendments that may arise during its implementation or execution. It can be summarized as the process of systematically and efficiently managing contract creation, execution, and analysis for the purpose of maximizing financial and operational performance and minimizing risk. Common commercial contracts include employment letters, sales invoices, purchase orders, and utility contracts. Complex contracts are often necessary for construction projects, goods or services that are highly regulated, goods or services with detailed technical specifications, intellectual property (IP) agreements, outsourcing and international trade. Most larger contracts require the effective use of contract management software to aid administration among multiple parties. A study has found that for "42% of enterprises...the top driver for improvements in the management of contracts is the pressure to better assess and mitigate risks" and additionally,"nearly 65% of enterprises report that contract lifecycle management (CLM) has improved exposure to financial and legal risk." During the post-award phase, it is important to ensure that contract conditions and terms are met, but it is also critical to take a closer look for items such as unrecorded liabilities, under-reported revenue or overpayments. If these items are overlooked, margin may be negatively impacted. A contract compliance audit will often commence with an opportunity review to identify the highest risk areas. Having a dedicated contract compliance (and/or governance) program in place has been shown to result in a typical recovery of 2-4% and sometimes as high as 20%. Current thinking about contract management in complex relationships is shifting from a compliance “management” to a “governance” perspective, with the focus on creating a governance structure in which the parties have a vested interest in managing what are often highly complex contractual arrangements in a more collaborative, aligned, ?exible, and credible way. In 1979, Nobel laureate Oliver Williamson wrote that the governance structure is the “framework within which the integrity of a transaction is decided.” He further added that “because contracts are varied and complex, governance structures vary with the nature of the transaction.” (See also relational contract). Eriksson and Westerberg (2011); Li, Arditi, and Wang (2012); Chen and Manley (2014), and Cardenas, Voordijk, and Dewulf (2017) have hypothesized, developed and extensively tested conceptual models in which relevant project governance instruments and factors were identified and related to the performance of construction projects. A collaborative governance framework has four components: A relationship management structure (how the parties work together to make both day to day operational decisions as well as strategic decisions) A joint performance and transformation management process designed to track the overall performance of the partnership An exit management plan as a controlling mechanism to encourage the organizations to make ethical, proactive changes for the mutual benefit of all the parties. Compliance to special concerns and regulations, which include the more traditional components of contract compliance.

However 2018 is estimated to totally eclipse this with some 2,300 MW forecast to be commissioned. Falling installation costs have now put solar electricity prices on par with fossil fuel generated supplies and an increasing pressure for corporations to “green” their operations is driving demand for energy provided from renewable sources via Power Purchase Agreements (PPAs). Whilst PPA’s have been successfully carried out in the USA and Europe, examples of true “corporate” PPAs have been experiencing a difficult time in establishing themselves in Australia. This is mainly due to the complexity of how the east coast National Electricity Market operates and the requirement, for most corporates, to have to engage with both solar farm developers and electricity retailers in forging the contract structure and mechanisms to allow the PPA to function. The UNSW solar PPA has faced this challenge and brought together the developer and retailer in a contractual framework having an innovative arrangement for providing a front-of-the-meter PPA solution. It is hoped that this PPA template will now be used by other Australian corporate entities to secure carbon free electricity. SHORT BIOGRAPHY: Nick began his 30 year career in energy management whilst working for IBM in the UK during the 1980’s. Following the de-regulation of the UK electricity supply industry in 1998 he became involved in providing electricity procurement services for corporates. Combining this expertise with his experience in energy efficiency, he then offered these services to clients from an energy consultancy unit he managed within the Johnson Controls organisation. Relocating to Sydney in 2007 he became Director of Energy Services in Asia for Johnson’s Facility Management Group. After Johnson’s, Nick joined Energetics, a Sydney based energy consultancy where he held the position of Principal Consultant before joining UNSW as their Energy Manager in 2012. Nick holds a MSc in Environmental Engineering with energy specialisation awarded by Portsmouth University.

Here at Wholesale Ted, we get asked a lot of questions in-regards to this… “Won’t the Aliexpress seller include an invoice in the package, telling the buyer the real price I paid? Won’t they get angry?” “I don’t want to dropship from Aliexpress because sellers include marketing information (like their seller name and coupon codes) that identifies them, so the buyer can go direct to the Aliexpress seller.” Luckily, there is a simple solution to this - and that is to blindly dropship your items from the Aliexpress suppliers. QUESTION: What is Blind Dropshipping? ANSWER: Blind dropshipping is when a supplier dropships an item without including any marketing or advertising identifying them as the seller. It also means they don’t include an invoice so the customer can’t see how much you paid. As a result, the buyer as no idea where you go the item from (so they can’t go direct to them) and they don’t know the real price of it. QUESTION: That’s great… how do I blindly dropship then? ANSWER: It’s actually very simple. All you need to do is ask the Aliexpress supplier to do it. When you purchase an item, on the checkout page you’ll be offered an option to leave a message for the seller. Simply type in a message like this: "Hi there. Please do not include an invoice or any marketing materials with this order. Please blindly dropship this item. Thank you" If you add a message like this, then your item will be shipped out and not include any invoices/marketing materials/coupon codes inside. QUESTION: Why would suppliers be willing to blindly dropship? ANSWER: A lot of Aliexpress sellers are used to working with dropshippers, and actively seek them out. Why? Because dropshippers can do large amounts of volume, and be very profitable for them. As a result of working with us, Aliexpress suppliers are used to the needs of dropshippers and know how to ship while hiding their identity. QUESTION: Why in this video do you recommend working with Aliexpress suppliers that have a feedback score between 2,000-2 million? ANSWER: Sellers in this feedback range are the “sweet spot.” They are established suppliers, so likely have previous experience working with dropshippers and will understand your requests. Yet they aren’t doing an absolutely insane amount of sales volume, so they will be more likely to pay close attention to messages. QUESTION: Is there anything else I do to ensure the supplier will blind dropship my item? ANSWER: Yes - there is. If you’d like to be doubly safe, then we recommend reaching out to the supplier and messaging them. You can ask them if they offer blind dropshipping, and check that they understand what it is. QUESTION: So you say that you ordered items from Aliexpress suppliers and unboxed them in the video… was any marketing material or invoices included in the packages? ANSWER: Nope! We ordered four different items from four different suppliers. All of the suppliers were in the feedback score range we recommended in this video (2,000 to 2 million). There was nothing included on or in the packages indicating who the seller was. There were no invoices included in the packages, indicating the true cost of the item. And there were no coupons included in the package, and they made no attempts to try and “poach” customers. And finally, here is something to keep in mind… this highlights something very important: oftentimes, seemingly complicated problems have very simple, easy solutions. We’ve noticed that a ot of people get held back from starting a dropshipping business because of this issue. They tell us things like: “I want to do this, but I’m worried the customer will get an invoice in their package.” “I’d like to start a dropshipping business, but it won’t work, because the Aliexpress seller will include advertising information in the package, identifying them.” Well… a little bit of research reveals that actually - this isn’t true at all if you just ask them to not do so! They will leave all of that out. So remember - if you hit a stumbling block along the way, don’t let it stop you. The solution to it is likely simpler that you realized.

Under the current regime, different states have different schemes for VAT. There are different composition schemes with different VAT rates. Service tax too is complex with 60% abatement on new works and 30% abatement on repair contracts. GST will solve such with a much simpler straightforward calculation Input Tax Credit is NOT available works contracts services when supplied for construction of immovable property, other than plant and machinery, except where it is an input service for further supply of works contract service goods or services received by a taxable person for construction of an immovable property on his own account, other than plant and machinery, even when used in course or furtherance of business. (OTCQB: UBRG), a publicly traded independent diversified energy company that markets and distributes natural gas, petroleum, coal and electricity, announced that its subsidiary NDR Energy Group, signed a new contract to obtain natural gas supplies with one of the largest natural gas producers in the world. The relationship with the natural gas producer is now in complete and full operations. The relationship with this major supplier will give NDR Energy Group strategic access to major supplies of natural gas to supply its electric utility customers nationwide. NDR Energy Group established this contractual relationship with one of the largest independent oil and natural gas exploration and production companies in the world. The public company operates in 30 countries worldwide and reported over $58.24 billion in revenues in its Annual Report. NDR Energy Group is pursuing new gas supply agreements directly with major exploration companies and producers of natural gas to obtain better pricing to increase the Company's margins and profits. NDR Energy Group's President and CEO, Ken Harris, stated, "Following our recent meetings in Houston, we worked at an accelerated pace to execute all of the required contracts and documentation necessary to bring this relationship to life. Because of the size and strength of this supplier, we were required to execute new payment related documentation with many of our utility customers across the country. Last week, we were able to obtain our first quotation to purchase natural gas from our new supplier. By virtue of this new relationship, we now have an extensive slate of very strong suppliers. This new dynamic enhances our capability to meet the extensive volume and delivery point requirements of our customers in each geographic region. While we are pleased with our current situation, I must note that we are now in discussions with two additional top five gas producers. I anticipate completing both a NAESB gas purchase agreement and an ISDA agreement with one of those producers in the near future."

Cannmart holds the first "sales-only" license to be issued to a non-cultivator. Cannmart's goal is to offer a unique selection of high-quality cannabis products sourced from Licensed Producers across Canada. While the Company is focused on growing cannabis sales in the Canadian market, Namaste maintains a large market share with over 500,000 customers in the UK through its vaporizers and accessories business. As the UK will be legalizing medical cannabis in due course, the Company will also focus on utilizing its domestic supply agreements in the Canadian market to facilitate importation to the UK for distribution under upcoming regulated channels.
