It is further classified as - Pure conglomerate: In this the two firms have nothing in common. - Mixed conglomerate: In this the two firms are looking for product or market extensions. - Horizontal merger: When two companies which are in the same industry merge, it is called as horizontal merger. This type of merger usually occurs in the industries where there are few competitors and the competition is high. When these industries merge they’ll have much bigger synergies and potential gains. - Market extension merger: This occurs between two firms that are offering the same products but in different market regions. The motive behind this type of merger is to make sure that the merging companies will be able to operate in a bigger market and there by getting huge number of clients. - Product extension merger: This type of merger occurs between two companies that offer the products that are related to each other and operating in the same market. The merger helps to group the products together and reach a huge client base. It increases the profit margins too. - Vertical merger: This occurs between two companies which are producing different goods or services for one specific finished product. It occurs when two or more firms that offer products which are part of an industry’s supply chain merge their operations. The purpose of merger is to increase synergies created by the merging entities and operate more efficiently as a single business unit. 9 WORST Company Failures!

11:04
Dumbest ways companies have failed to predict the future or made decisions that bankrupted them! Whatever happened to Blockbuster and Borders? Find out on this countdown of epic business blunders! #9. “Kodak”- The Eastman Kodak Company was founded in 1888 and was the most successful company in the photography industry during the 20th Century. They were the leaders in bringing the cutting edge of photographic technology and easy to use cameras to the hands of consumers throughout the world. But Kodak almost met its demise at the hands of a product that it actually invented: digital photography. Kodak invented this technology in 1975, but failed to jump on the innovation, believing that common applications for it were well into the future. Early on, the company thought that the high cost and complexity that would be needed to make a push into the digital front weren’t in Kodak’s best interests. So, Kodak put digital photography to the side to be picked back up when the time was financially advantageous, but they waited too long. By the time they switched gears, they faced competitors who had been perfecting their business models with digital photography at the center, whereas Kodak’s model was still dependent on printed photos. While other companies made deals with websites, phone companies and focused on online based imaging, Kodak floundered and in 2012 filed for Bankruptcy. They have since come back from bankruptcy and started specializing in producing smartphones and tablets. #8. “Pan American”- From 1927 until 1991, Pan Am was the largest airline company in the United States, but due to bad foresight, callous labor practices and an uncontrollable disaster this global giant quickly met its end. The company basically had a monopoly on overseas travel until World War II but was dealt its first major blow when other strong airline companies began to up their game. Pan Am fought off the competitors with its innovations such as jumbo jets and an advanced system for making reservations but these innovations couldn’t match the corporate aptitude and human relations that the other airlines dealt with more astutely. One of the main reasons for Pan Am’s failure was ironically due to its early successes. Because of the sheer size of its fleet, it was the company hit the hardest by the 1973 oil crisis. Just before the crisis, Pan Am had just purchased a number of brand new gas-guzzling Boeing 747s and was forced to dramatically raise ticket prices to recuperate. As it was trying to recover from this setback it had also become a target of terrorism in the Middle East. To the terrorists Pan Am was a symbol of the United States overseas because it was the largest U.S. airline servicing the area. During the Gulf War, in the midst of financial hardships and battles with labor unions, Pan American 103 on a transatlantic flight from Frankfurt, Germany to Detroit was blown up by Libyan nationals above the Scottish town of Lockerbie. The incident scared even more customers away from flying Pan Am and many travel agents would no longer book flights on their planes. All of these events and poor managing of them led Pan American International Airways to declare bankruptcy and completely fold in 1991. #7. “Borders”- Tom and Louis Borders opened their first bookstore in 1971. Their vast selection of books and innovative inventory system turned them into the second biggest chain of book megastores. Due to years of miscalculating the future of book consumption, the bookstore all but vanished in 2011. It all started in the mid 90s when Amazon and other online stores hit the scene. Instead of developing their own website and focusing on online sales, the company decided to further their storefront endeavors and expanded into Europe and Asia opening hundreds of stores. Their competitor Barnes and Noble, did the opposite by preparing for the digital age, perfecting their online sales system and focusing on their storefront operations in the United States. When Borders did start to catch on to the online market they were already far behind and decided to use Amazon as a host for such sales. Because of this, as more and more sales were made online, instead of receiving 100% of the profit they had to share with Amazon. Borders also was caught in the past by devoting lots of money and inventory towards DVDs and CDs at a time when digital music and video was on the rise. While Barnes and Noble developed it’s own e-reader to grab paperless book market by the horns, Borders was extremely slow to adapt to the change. All of these factors came to a boiling point in 2006 when, after several years of losing millions of dollars Borders filed for bankruptcy. By 2011, Borders realized there was no way out and closed most of its remaining stores. The only stores remaining are in southeast asia where it remain Borders in name only, as they were sold to a company named Popular Holdings.

The EU's top court has ruled that the bloc's food safety agency has to release the details of studies on the controversial weedkiller glyphosate. The European Commission had classified glyphosate as safe, based on scientific studies presented by private companies. Hay Rake-Type Impact on Ash Content in Hay

10:04
Ash is defined as the total mineral content of forage. Excessive ash is most commonly associated with soil contamination which provides no nutritional value to animals and may lead to reduced economic efficiencies when purchasing hay. Because soil disturbance is possible during hay raking, this harvest phase has a potential to affect ash content of forage. University of Minnesota Regional Extension Educator, Abby Neu, MS, discusses current best management practices for reducing ash content in hay and her research investigating hay rake impacts on ash content in alfalfa hay. Funding for this research was possible through the USDA-NIFA Alfalfa Seed and Forage Systems Research Program and was a collaboration between the University of Minnesota, Pennsylvania State University and the University of Wisconsin. We acknowledge the cooperation of Leaning Pine Farm and thank New Holland Agriculture for the use of the hay merger in Minnesota.
Inventory and COGS: LIFO vs FIFO

13:40
In this lesson, you'll learn how Inventory and Cost of Goods Sold (COGS) differ under the LIFO (Last-In, First-Out) and FIFO (First-In, First-Out) methods. By http://breakingintowallstreet.com/ "Financial Modeling Training And Career Resources For Aspiring Investment Bankers" You'll also understand their impact on the financial statements. This lesson is ONLY applicable if you are in the US -- under IFRS, which most other countries follow, only FIFO is allowed. Table of Contents: 0:48 Why LIFO vs. FIFO Matters and a Simple Example 4:22 Real Life Example of LIFO vs. FIFO 5:18 LIFO vs. FIFO on the Income Statement 8:50 LIFO vs. FIFO on the Balance Sheet 10:22 The Average Method 11:15 If Inventory Costs Decrease Over Time... 11:48 Recap and Summary Why LIFO vs. FIFO Matters In our 3-statement "interview question" model, we assumed that COGS = Decrease in Inventory over a specific period. So the implicit assumption is: Change in Inventory = Beginning Inventory + Purchases - COGS. PROBLEM: What do you actually list for COGS? After you buy the Inventory, what should you record for the cost of Inventory once it's actually sold? Example: Let's say you order 100 units during the course of the year, and initially they cost you $10 each... but by the end of the year the cost has increased to $20 each. When you sell 10 units, do you use 10 * $10 for COGS, or 10 * $20? That's the core problem you face when recording COGS and Inventory, and there are 2 methods for handling it: LIFO (Last In, First Out): You use the cost of the latest items purchased (10 * $20). FIFO (First In, First Out): You use the cost of the earliest items purchased (10 * $10). It's not about which one is "better," but more about the trade-offs between these two methods -- how are Net Income, Inventory, and COGS affected? Impact on Net Income, Inventory, and COGS If inventory costs have been INCREASING: LIFO: Higher COGS, lower Net Income, and a lower ending Inventory balance. FIFO: Lower COGS, higher Net Income, and a higher ending Inventory balance. If inventory costs have been DECREASING: LIFO: Lower COGS, higher Net Income, and a higher ending Inventory balance. FIFO: Higher COGS, lower Net Income, and a lower ending Inventory balance. Compromise: Take the average numbers under both methods (many US-based companies do this in real life). This comes up in real life all the time, so you need to be aware of it -- and possibly be ready to make adjustments on the financial statements if companies you're comparing are using different standards for inventory and COGS. What is PRODUCT REBRANDING? What does PRODUCT REBRANDING mean? PRODUCT REBRANDING meaning - PRODUCT REBRANDING definition - PRODUCT REBRANDING explanation. Source: Wikipedia.org article, adapted under https://creativecommons.org/licenses/by-sa/3.0/ license. SUBSCRIBE to our Google Earth flights channel - https://www.youtube.com/channel/UC6UuCPh7GrXznZi0Hz2YQnQ As for product offerings, when they are marketed separately to several target markets this is called market segmentation. When part of a market segmentation strategy involves offering significantly different products in each market, this is called product differentiation. This market segmentation/product differentiation process can be thought of as a form of rebranding. What distinguishes it from other forms of rebranding is that the process does not entail the elimination of the original brand image. Dexxa computer mice are rebranded Logitech devices sold at a lower price by Logitech in the low-end market segment without undercutting their mid-range products. Rebranding in this manner allows one set of engineering and QA to be used to create multiple products with minimal modifications and additional expense. Following a merger or acquisition, companies usually rebrand newly acquired products to keep them consistent with an existing product line. For example, when Symantec acquired Quarterdeck in November 1998, Symantec chose to rename CleanSweep to Norton CleanSweep. Later on, the company chose to reposition its entire product line by grouping products into a bundle known as Norton SystemWorks. Symantec is not the only software company to reposition and rebrand its products. Much of Microsoft's product line consists of rebranded products, including MS-DOS, FoxPro, and Visio. Another example is the rebrands of GeForce 8-series GPU into 9-series by nVidia. The reverse can also happen, as when AlliedSignal acquired Honeywell, Southern Railroad of Long Island acquired Long Island Rail Road, and Chemical Bank acquired Chase Manhattan Bank. In such cases, the acquiring company rebrands itself with the acquired name. Another form of product rebranding is the sale of a product manufactured by another company under a new name. An original design manufacturer is a company that manufactures a product that is eventually branded by another firm for sale. This is often the case with international trade. A product is manufactured in a place with lower operating costs, and sold under a local brand name.

Private pension manager forecasts "great merger" between traditional PE and hedge fund managers

21:21
Subscribe to this channel: http://www.youtube.com/OpalesqueTV The 2013-2014 Opalesque Institutional Investor Series profiles leading institutional investors to analyze their best strategic and tactical allocation ideas, portfolio construction trends, and investor expectations from alternative managers. Moderator Michael Oliver Weinberg is an Adjunct Associate Professor of Finance and Economics at Columbia University, and CIO of family office, MOW & AYW LLC. The goal of the series is to contrast asset allocation and best ideas of thought leading pensions, E&F's, FOs and FOF CIO's, and to inform both the buy-side and sell-side and facilitate improvement in the allocation process. In this Institutional Investor Series interview, Michael profiles Charles Van Vleet, CIO and Assistant Treasurer of Textron, Inc. Textron is a Providence, Rhode Island, based industrial manufacturing company with plants primarily in Texas and Kansas. With 33,000+ employees, the company produces many well-known brands, including Bell, Cessna and E-Z-GO. Mr. Van Vleet discusses his perspectives and priorities as a private pension fund CIO, including over/under-weights vs. historic allocations and benchmarks, and why benchmarking against the HFRI is a mistake in a rising S+P environment. He gives insight into strategic asset allocation over the next 12 months, best tactical allocation ideas, and investor expectations where managers must improve to facilitate investment by allocators. He likes strategic allocation increases to private debt structured funds, and explains why corporate plan sponsors often prefer private equity alignment and structures, but also want to control extension risk. Due to this investor demand, he forecasts great merger between traditional private equity managers and traditional hedge fund managers. In addition, learn about the following: Perspectives from private pension fund CIO Charles Van Vleet of Textron Inc. Using the HFRI as benchmark is a mistake in a rising S+P 500 environment The search for hedge funds without structural beta characteristics Stack LIBOR +200 hedge funds on top of the S+P 500 Forecasting a great merger between traditional private equity managers and traditional hedge fund managers Using smart leverage post-2008 to meet ROA Hedge funds need to simplify and clarify their data for private plan sponsors Why most corporate plan sponsors are underspending their liquidity budget Strategic alignment of liability transfer with Board of Directors is critical Some illiquid, alternative parts of portfolio are "the most valuable, easy to harvest source of return" Post - 2008, there is a "complete reversal" of liquidity budgeting for many institutional investors New recognition that volatility structure of private pensions are more stable than endowments and foundations Private plan sponsors should increase their illiquidity budget & increase allocations to private equity structures that invest in private credit Charles Van Vleet is Assistant Treasurer and Chief Investment Officer of Textron Inc. Providence RI, (TXT*) overseeing its $10 billion defined benefit and savings plan assets. Prior to Textron, Mr. Van Vleet was Director Pension Investments at United Technologies Corporation (UTC) in Hartford CT.
